If you run Neobrain for skills mapping or internal mobility, your vendor now belongs to a US mentoring company, and the announcement says nothing about your contract, your price or where your employee data lives. MentorcliQ said on October 23, 2026 that it has acquired Neobrain, the Paris skills intelligence company, to combine Neobrain's skills ontology and talent marketplace with its own mentoring programs. No price was disclosed. The one operational commitment is that Neobrain's teams and leadership, including its co-founders, stay in Europe.
That is useful, and it is also the only promise on the table. Neobrain customers should use the weeks before the products merge to get data residency, roadmap and integration terms in writing. HR leaders still shopping for skills tools should treat this as the second skills-data deal in a month, after SAP agreed to buy TechWolf on October 6.
What MentorcliQ Actually Bought
MentorcliQ bought a European skills platform that already runs AI agents for HR. Neobrain was founded in Paris in 2018 by Paul Courtaud and Jérémy Jaillant, and the deal release describes its products as skills intelligence, career pathing, an internal talent marketplace, strategic workforce planning and AI agents for HR, deployed since 2023. The release says it serves more than 1 million employees across 80 countries in 17 languages.
A skills ontology is a structured map of the skills a company's people have and its roles need, kept current so that hiring, learning and mobility tools draw on the same vocabulary. An internal talent marketplace is the employee-facing layer on top of it: open roles, projects and gigs, matched to the people whose skills fit.
The company is small. French deal publication CFNEWS put Neobrain's revenue at €6.7 million and noted it entered the US three years ago by buying Flashbrand. That 2023 Flashbrand announcement listed 120+ clients, including Natixis, Sage, Safran and Bosch, 140 employees across Paris, Frankfurt, Lisbon, New York and San Francisco, and more than $22 million raised in 2022. It reported 700,000 active users at the time, so treat the new 1 million figure as a vendor count from a later date.
MentorcliQ, founded in Columbus in 2012, says it serves more than 6.5 million employees. It took an $80 million-plus growth investment from PSG in March 2023, taking total funding past $100 million, and that release named PSG's M&A expertise as a way to expand the product. This is a buy-and-build platform doing what that kind of capital is raised to do. Fundz also lists no financial terms.
What the Combined Product Is Supposed to Be
The stated plan is one platform with three connected parts. Per the release, those are Neobrain's skills ontology, Neobrain's internal talent marketplace and MentorcliQ's development programs and communities. AI agents would help employees find career paths, spot skill gaps, get course or project recommendations and connect with mentors, and would help HR teams manage the ontology and the programs.
The logic holds up. A mentoring program matches people on goals and skills, and a skills graph gives it better input than a self-reported profile. Neobrain gets a distribution channel into Fortune 500 HR teams that MentorcliQ already sells to. Courtaud's line in the release, that "companies have mapped skills without fully activating that knowledge," is a fair description of the problem most skills projects hit.
What the release leaves out is the part a customer signs. There is no timeline for the merged product, no word on whether Neobrain stays sold on its own, and no statement about pricing, contract terms or the Neobrain brand.
The Data Residency Question Neobrain Customers Should Ask First
The biggest practical change for a European Neobrain customer is where its employee data could end up. Neobrain's security page says customer data is "hosted by OVH in France" and commits it will "not transfer your data outside of the EU." For a French or German HR team, a promise like that is often why the vendor passed procurement.
MentorcliQ runs a different stack. Its security and compliance page says the mentoring product is hosted on Google Cloud, its ERG product CommunityCliQ on Microsoft Azure, and secure file transfer on AWS and Rackspace. It lists SOC 2 Type II, Microsoft SSPA and TX-RAMP Level 1, says it participates in the EU-U.S. Data Privacy Framework, and points to a Trust Center for its subprocessor list. Neither page says which of these two setups a merged product will use.
To be fair to MentorcliQ, a US parent does not automatically mean US hosting, and keeping the team in Europe suggests it knows the European base is part of what it paid for. But "Do not transfer your data outside of the EU" is a commitment from a company whose parent now hosts its main product on US hyperscalers and relies on a transfer framework for EU data. Your DPA is the document that decides it, so read it before an integration project starts moving data between the two.
Why This Matters Beyond One Vendor
Skills data is consolidating into larger HR platforms, and buyers should plan for it. In October alone, SAP agreed to buy Ghent-based TechWolf to feed SuccessFactors, and CIO.com reported that TechWolf, "at least for now, will continue to operate independently, allowing it to serve both SAP and non-SAP customers," with closing expected by December. The same month Dayforce agreed to acquire Ribbon AI for recruiting, and Workday kept building out its own agents, as covered in our Workday Rising 2026 recap.
The difference here is the stated commitment. TechWolf was reported to stay independent, at least for now, and keep serving non-SAP customers. MentorcliQ made a team-location statement. If your skills graph feeds Workday, SuccessFactors or a learning platform that is not MentorcliQ, the question to ask is whether those connectors stay supported and on what roadmap.
MentorcliQ has done this before. It bought TERP Associates in April 2019 and River Software in 2020, when River became a wholly owned subsidiary. MentorcliQ's own update on River did not say whether River's product would keep running or be migrated, which tells you how much detail to expect unless you ask.
There is also a regulatory layer. Annex III, point 4(b) of the EU AI Act lists AI systems used "to make decisions affecting terms of work-related relationships, the promotion or termination" of them, or to "allocate tasks based on individual behaviour" as high-risk. Whether a given career recommendation or internal-candidate match falls under it depends on how you use it, and a merged product with new agents can change that answer. Our guide to AI recruiting tools you can audit covers the documentation to ask for.
What to Do Before the Products Merge
The window to set terms is now, while MentorcliQ wants to keep Neobrain's customer base intact.
This Week:
- Pull your Neobrain contract and DPA and find three clauses: change of control or assignment, the data location and transfer commitment, and the termination and data export terms. Send them to your privacy lead and procurement owner together.
- Ask your Neobrain account team, in writing, whether your data stays on OVH in France after the acquisition and whether any MentorcliQ subprocessor will touch it. Ask for the answer as a DPA amendment.
- List every system your Neobrain skills data feeds (HRIS, LMS, ATS, workforce planning) so you know which integrations an integration roadmap could break.
This Month:
- Request the product roadmap for standalone Neobrain: how long it is sold and supported on its own, and whether connectors to Workday, SuccessFactors and other HR systems stay maintained.
- Run a full export of your skills ontology and employee skill profiles in a format another tool can read, and confirm it works. Our SAP-TechWolf piece covers why a skills graph is the asset to protect.
- If you use Neobrain's agents or marketplace matches in promotion or staffing decisions, ask your works council or legal team to review them against Annex III point 4 before any new MentorcliQ agents are switched on.
Before Renewal:
- Price-protect for at least one renewal cycle and get the hosting and transfer commitment into the order form.
- If you also run a separate mentoring tool, decide whether the combined MentorcliQ product could replace it. Consolidating the two contracts is your leverage on price.
The Bottom Line
This is a small European specialist joining a growth-equity-backed US platform. HR tech has seen that pattern many times, and the customer terms usually move slowly and quietly after close. Neobrain's EU hosting commitment and its integrations with other HR suites are the two things worth protecting, and both are contract questions. Skills data also matters more each quarter: the Workday Global Workforce Report found demand moving from basic AI skills toward building with AI, and the skills graph is where that change gets tracked.
